Essential Responsibilities
· Management of third party licensing including management of trademarks, trade names, copyrights and patents.
· Take adequate measures for protection of Intellectual Property including litigations, if required.
· Regulatory compliance matters and supporting legal team on engagement with appropriate governmental authorities in India – e.g., Customs, Software Technology Park, KIADB, Municipal Corporation,.
· Compliance with all statutory requirements including those related to the STPI or other Schemes, Shops and Establishment Act, employee benefits etc., and for working with internal and external agencies to carry out legal compliance audits.
· Legal aspects related to acquisitions (conducting due diligence), transfer pricing, cross border implications
· Proper controllership of allocated budgets and legal costs.
· Counsel and advise a broad client base on domestic and international matters in the areas of procurement and research services.
· Negotiate complex contracts for government-related matters (joint collaborations on project with government eg: PPP) and work with other GEGR functional organizations to ensure compliance with such contracts.
· Consult with IP counsel, other transactional counsel, and business leaders on protection of Intellectual property of the organization contractual matters, serving as an expert in areas of indemnification, liability, insurance, warranties, privacy, forum, and compliance.
· Perform privacy-related tollgates on research projects and evaluate privacy risks in contractual matters.
· Counsel senior leadership and other attorneys on risk mitigation strategies, contractual provisions, and structures for special acquisitions and transactions
· Guide other Legal Department members and outside counsel on issues related to document management, litigation holds, litigation strategy, and document management process improvements.
· Provide general legal/risk mitigation advice to multi-functional teams on miscellaneous matters, such as EHS, security, government compliance, finance, immigration, export control, labor & employment matters, privacy, and regulatory issues.
· Perform and develop training for business leadership and other attorneys on legal matters and other compliance matters, as needed.
· Engage counsels and briefing them on various legal and business requirements
· Handle litigations; drafting and strategising it on various subjects
· Anticipate and drive solutions for a diverse range of legal and business issues.
Qualifications/Requirements
· Qualified law graduate / postgraduate from India or overseas with approximately 2-4 years of experience with preferably in house counsel experience with above responsibilities.
· Candidate with experience of providing legal support to engineering, IT and research organizations would be preferred
· There will be a preference for someone who has knowledge of commercial laws and practices at international level also, especially Europe, Asia and USA.

Desired Characteristics
2-4 years of experience in negotiating and counseling on all legal matters
• Experience creating and delivering training to senior level personnel

· Exposure to an in-house legal department
· Experience counseling on research center compliance-related issues.
· Experience performing with privacy-related risk analyses
